Terms of Service
Version 1.1 · Effective October 20, 2026
Read this first. These Terms are a binding contract between SQOP LLC and the business that uses the Sqop platform. They contain a disclaimer of warranties (Section 19), a limitation of liability (Section 20), a jury-trial waiver and class-action waiver (Section 24), and a release relating to AI-generated content (Part B). By creating an account, clicking "I agree," signing an Order Form, or using the Services, you accept these Terms on behalf of your business.
Three parts. Part A is the Terms of Service. Part B is a short Acknowledgment and Release that an authorized person accepts separately. Part C is the Referral Network Terms, which apply to insurance and real-estate agents and their offices that use the Referral Network; go to Part C. Where Part A and Part B conflict, Part A controls, except that the release in Part B applies as written. For an Agent, Part C controls over Parts A and B.
Part A: These Terms of Service (the "Terms") are entered into between SQOP LLC ("SQOP," "we," "us," or "our") and the contracting business identified on the applicable Order Form or that otherwise creates, accepts, or uses an account on the Sqop platform ("Customer," "you," or "your"). SQOP and Customer are each a "party" and together the "parties."
1. Parties and Acceptance
1.1 SQOP. SQOP is SQOP LLC, a Texas limited liability company. Legal notices and privacy requests go to legal@sq-op.com; other questions and support go to sqop@sq-op.com.
1.2 Customer. Customer is the roofing or contracting business identified on the Order Form or, where no separate Order Form exists, the business on whose behalf an account was created, including an account SQOP creates for Customer under the Assisted Setup process in Section 4.
1.3 Authority. The individual accepting these Terms, whether by clicking to accept, by signature, or by first use of the Services, represents and warrants that they are authorized to bind Customer to these Terms. An individual who lacks that authority must not accept these Terms and must not use the Services.
1.4 When acceptance occurs. Customer accepts these Terms on the earliest of: (a) an authorized representative of Customer clicking to accept them in the Services; (b) an authorized representative of Customer signing an Order Form that references them; or (c) Customer or any Authorized User using the Services. For an Assisted Setup account, Customer is not bound merely because SQOP created and configured the account; acceptance occurs when Customer's designated owner or another authorized representative first accepts these Terms under (a), (b), or (c).
1.5 Business use only. The Services are offered to businesses for business purposes. Customer represents that it is acquiring the Services for use in its trade or business and not for personal, family, or household purposes.
2. Definitions
- "AI Features": the artificial-intelligence-assisted features of the Services, including the Q chat assistant, automated reading of insurance and carrier documents, AI-assisted estimate and scope drafting, AI-assisted photo scanning and tagging, receipt and invoice extraction, and any similar feature SQOP later adds, each described further in Section 8.
- "Authorized User": an individual Customer authorizes to access the Services under Customer's account, including Customer's owners, employees, and contractors acting on Customer's behalf.
- "Customer Data": data, files, and records that Customer or its Authorized Users submit to, or generate within, the Services, including job records, customer and homeowner contact and property information, photographs, documents, estimates, financial records, messages, call recordings, and transcripts. Customer Data includes Homeowner Data submitted through Customer's account.
- "Documentation": SQOP's then-current user-facing help materials for the Services.
- "Homeowner": an individual homeowner or property owner who is Customer's own customer or prospective customer and who is not a party to these Terms.
- "Homeowner Data": personal information about a Homeowner or other individual that Customer submits to or generates within the Services.
- "Order Form": a pricing and account-setup document, quote, or in-product configuration screen that references these Terms and specifies Customer's fees, plan, trial length, and related commercial terms.
- "Services": the Sqop web application and any mobile application SQOP makes available, the Homeowner Portal, the Referral Network (where applicable), the Communications Center, and all associated AI Features, application programming interfaces, and Documentation.
- "Subscription Term": the period during which Customer is entitled to access the Services on a paid or comped basis, as described in Sections 9 and 22.
- "Trial Period": a time-limited period during which Customer may access the Services before a paid Subscription Term begins, as described in Section 9.
3. Accounts, Users, and Authority
3.1 Customer may create Authorized User accounts for its personnel and assign each a role that determines what that person can see and do within the Services (for example, administrator, office staff, or field roles). Customer is responsible for configuring roles appropriately and for all activity that occurs under its Authorized Users' credentials.
3.2 Customer must keep its account information accurate and must promptly deactivate Authorized Users who leave Customer's employment or should otherwise lose access. Customer is responsible for its Authorized Users' compliance with these Terms.
3.3 Customer must notify SQOP promptly at legal@sq-op.com of any known or suspected unauthorized access to its account.
3.4 Customer must not share credentials between individuals. Each Authorized User must have their own login.
4. Assisted Setup
4.1 At Customer's request, or as part of SQOP's onboarding process, SQOP personnel may create and configure Customer's account before any person at Customer has logged in, including the company profile, branding, a starting price configuration, feature settings, AI spend limits, and a sample job used for training ("Assisted Setup"). While an account is on hold in this state, SQOP does not send login credentials to anyone at Customer, and the account is not usable by Customer.
4.2 Customer's Trial Period does not begin, and no login is sent to Customer's designated owner, until SQOP releases the hold. Releasing the hold starts Customer's Trial Period and sends a welcome email to the designated owner (and any other recipient Customer has asked SQOP to include) with instructions to set up their own login.
4.3 Configuration choices SQOP makes during Assisted Setup, including starting pricing, feature settings, and AI spend limits, are a starting point only. Customer must review and confirm all such settings after gaining access and before relying on the account for live work. SQOP is not responsible for the consequences of a starting configuration that Customer did not review.
5. License, Restrictions, and Acceptable Use
5.1 License. Subject to these Terms and payment of applicable fees, SQOP grants Customer a limited, non-exclusive, non-transferable, revocable license, during the Trial Period and Subscription Term, for Customer's Authorized Users to access and use the Services for Customer's internal business purposes as a contracting business.
5.2 Restrictions. Customer will not, and will not permit any Authorized User or third party to: (a) reverse engineer, decompile, or attempt to derive the source code, underlying prompts, or model configuration of the Services; (b) resell, sublicense, rent, or provide the Services to any third party other than through the intended Homeowner Portal, sharing, e-signature, and payment-link features; (c) use the Services to build or assist in building a competing product; (d) circumvent usage limits, spend limits, or access controls; (e) upload content that is unlawful, infringing, or that Customer does not have the right to submit; (f) use automated means to scrape or bulk-extract data from the Services outside normal business use; or (g) use the Services in violation of applicable law, including laws governing insurance claims, home-improvement contracting, consumer protection, communications, commercial email, and privacy.
5.3 Acceptable use of AI Features. Customer will not attempt to extract SQOP's underlying prompts, model instructions, or proprietary guardrails from the AI Features, and will not use the AI Features to generate content that violates law, infringes a third party's rights, or misrepresents a material fact to a Homeowner, an insurer, or any other person. AI Feature usage is subject to spend limits configured for Customer's account; SQOP may pause or throttle AI Features when those limits are reached.
5.4 Marketing email. Customer is the sender of marketing email it sends through the Services and is responsible for complying with commercial-email law. Every marketing email Customer sends through the Services must identify Customer as the sender, include Customer's valid physical postal address and a working unsubscribe mechanism that stays active for at least 30 days, and have opt-outs honored within 10 business days. Where the Services add an unsubscribe link or Customer's address to marketing email, Customer remains responsible for compliance. SQOP may suppress delivery to any address that has opted out of email sent through the Services.
5.5 Beta features. SQOP may label a feature as beta, preview, or early access. Such features are provided for evaluation, may be changed or withdrawn at any time, and are provided without any support commitment.
5.6 Feedback. If Customer or an Authorized User provides suggestions or feedback about the Services, SQOP may use them without restriction or obligation, provided SQOP does not identify Customer as the source without consent.
6. Customer Data Ownership and SQOP's Limited License
6.1 Ownership. As between the parties, Customer owns all Customer Data. These Terms do not transfer any ownership of Customer Data to SQOP.
6.2 License to SQOP. Customer grants SQOP a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Services (including the AI Features), to comply with law, and as otherwise permitted in these Terms. SQOP will not sell Customer Data or share it for cross-context behavioral advertising.
6.3 Pooled learning. Certain AI Features improve using corrections and patterns observed across SQOP's customer base. For example, when a person at any customer corrects an AI photo tag, that correction may be used to improve photo tagging for every customer. Corrections are pooled only in scrubbed, de-identified form: photographs themselves are never shown to another customer, and before any text that accompanies a correction leaves Customer's account, email addresses, telephone-number-like sequences, and runs of three or more digits (which removes street numbers, ZIP codes, claim numbers, and similar identifiers) are removed and the text is shortened. Sample-job data and files Customer has removed are never pooled. SQOP will not attempt to re-identify pooled data and will not permit others to do so. SQOP may also use tagged job photographs, their tags, and corrections internally to evaluate and improve its own photo features; SQOP does not provide them to any third party, including AI providers, for training. An authorized administrator of Customer may turn pooled learning off at any time in the Services (Admin → Photo settings); pooling is on unless Customer turns it off, and turning it off excludes Customer's corrections and photographs from pooled learning and from that internal use.
6.4 No AI training by others. SQOP accesses its third-party AI providers through business API agreements under which, as of the Effective Date, those providers do not use content submitted through the API to train their models. SQOP will not use an AI provider that trains on submitted content without Customer's prior written consent, and does not provide Customer Data to any third party to train AI models.
6.5 Usage data. SQOP may collect and use technical and usage information about how the Services are used (such as feature usage, performance, and error data) to operate, secure, and improve the Services, provided that any such information disclosed outside SQOP is aggregated or de-identified so that it does not identify Customer or any individual.
6.6 Data architecture. SQOP's systems are built so that records are archived rather than immediately and permanently erased when removed from ordinary use. Section 16 explains what this means for retention, export, and deletion requests.
7. Support Access
7.1 "Sign in as" support access. To set up Customer's account or to diagnose a reported problem, authorized SQOP platform staff may sign in to the Services as one of Customer's Authorized Users ("Support Access"). Support Access may involve issuing a sign-in link or a temporary password, after which the user may be asked to set a new password. The SQOP staff member must record a specific written reason, which SQOP records with the staff member's identity, the affected user, and a timestamp in an internal audit log that SQOP's platform owner can review. Support Access is used only for account setup, support, security, and legal-compliance purposes, and never to alter Customer Data except as Customer requests or as needed to correct a defect.
7.2 Platform administration. A limited number of authorized SQOP staff may also view account and usage information through SQOP's internal administration tools, without signing in as a user, for support, security, billing, and legal-compliance purposes.
7.3 Support-initiated data exports. SQOP staff may generate a full export of Customer Data for account-setup, migration, or support purposes. Such exports are retained only as long as needed for that purpose, and their download links expire within 72 hours.
7.4 Record on request. Customer is not automatically notified each time Support Access or a support-initiated export occurs. On Customer's written request, SQOP will provide a record of Support Access and support-initiated exports for Customer's account for the preceding 12 months.
7.5 Consent. By using the Services, Customer consents to Support Access, platform administration, and support-initiated exports as described in this Section 7.
8. AI Features; No Professional Advice; Insurance Claims
8.1 What the AI Features are. The Services include Q, an AI chat assistant, and related AI Features that read and draft insurance-claim scope lines and estimates, extract data from uploaded carrier documents, receipts, and supplier invoices, scan and tag job photographs, and read job messages to keep a job's facts current. These features use large-language-model and computer-vision models provided by third parties (Section 15) and orchestrated by SQOP.
8.2 Not professional advice. AI Feature output is generated automatically. It does not constitute legal, insurance-adjusting, accounting, tax, engineering, or other professional advice, and it is not a substitute for the judgment of a licensed professional. AI Feature output may be incomplete, outdated, or incorrect, and factual statements in it should not be relied on without independent checking.
8.3 Human review required. Many actions the AI Features propose, such as writing an estimate line, filing a photo, or recording a payment, are staged as a proposal that an Authorized User must affirmatively review and approve before it takes effect. Whether or not a proposal is staged, Customer is solely responsible for reviewing and independently verifying AI Feature output, including insurance scope and estimate content, extracted document data, and any Homeowner- or carrier-facing communication, before relying on it or sending it to a third party.
8.4 No outcome guarantee. SQOP does not guarantee that any insurance carrier, claims adjuster, or Homeowner will approve, pay, or agree with any AI-assisted estimate, scope item, supplement, or communication.
8.5 SQOP is not an adjuster. SQOP is not an insurance adjuster or public insurance adjuster, does not adjust, negotiate, or settle insurance claims, and does not act on behalf of any Homeowner or insurer. The AI Features are drafting and organizing tools for Customer's own use. Customer is solely responsible for ensuring that its use of the Services complies with laws governing insurance claims and public adjusting, including laws that prohibit a roofing contractor from acting as a public adjuster, or advertising to adjust claims, for property on which it provides or may provide roofing services (for example, Texas Insurance Code § 4102.163), and laws that prohibit a contractor from paying, waiving, absorbing, or rebating an insurance deductible.
8.6 Provider-neutral. SQOP may change which third-party AI provider or model underlies a given AI Feature at any time without notice to Customer. SQOP intends the Services' functional behavior to remain materially consistent across such changes.
8.7 AI-generated content is identified. The Services identify Q and the other AI Features as artificial intelligence. Customer will not remove or obscure that identification, and will not present AI Feature output to a Homeowner or insurer as the work of a licensed professional.
8.8 See also Section 19 (Disclaimer of Warranties) and Part B (Acknowledgment and Release).
9. Fees, Trials, Billing, AI Usage Charges, Taxes, and Renewal
9.1 Fee structure. Fees are set out in the applicable Order Form or in the pricing shown to Customer in the Services, and are generally composed of (a) a recurring access fee, which may be a flat monthly fee, a per-Authorized-User seat fee, or a base fee that includes a number of seats with a charge for each additional seat; and (b) usage-based charges for AI Feature usage, billed at a multiplier over SQOP's own underlying AI-provider cost as stated in the Order Form, and subject to the spend limits configured for Customer's account. Specific dollar amounts appear only in the Order Form or in the Services, never in these Terms.
9.2 Trial Period. A new account receives a Trial Period of 90 days unless the Order Form states a different length. SQOP may extend a Trial Period, shorten it prospectively on notice, or designate an account as comped (no fees) at its discretion. SQOP does not charge fees during the Trial Period; AI Feature usage during the Trial Period is subject to spend limits and is not billed. When the Trial Period ends, Customer's access to the Services is suspended until Customer starts a paid Subscription Term or SQOP designates the account as comped. Customer Data is preserved during the suspension, and Customer may request an export under Section 16.3.
9.3 Billing. Fees are billed through Stripe (Section 10) to the payment method Customer provides. Recurring access fees are billed monthly in advance unless the Order Form states an annual term. AI usage charges are billed in arrears for the preceding billing period, on the same invoice as the recurring fee. Customer authorizes SQOP to charge Customer's payment method for all fees when due.
9.4 Automatic renewal; cancellation. A monthly Subscription Term renews automatically each month until cancelled. An annual Subscription Term stated on an Order Form renews automatically for successive one-year terms unless either party gives notice of non-renewal at least 30 days before the end of the then-current term. Customer may cancel at any time from Settings → Billing in the Services (Manage billing opens Customer's Stripe billing portal), where available, or by email to sqop@sq-op.com. Cancellation takes effect at the end of the then-current billing period; fees already paid are not refunded, and fees for the remainder of an annual term remain due.
9.5 Taxes. Fees are exclusive of applicable sales, use, and similar taxes, which are Customer's responsibility, excluding taxes on SQOP's net income. If Customer is tax-exempt, Customer must provide a valid exemption certificate.
9.6 Non-payment. If a payment fails or is late, SQOP will notify Customer. If the failure is not cured within 10 days after notice, SQOP may suspend the Services as described in Section 22.
9.7 Fee changes. SQOP may change its fees on at least 30 days' notice. A fee change takes effect at the start of Customer's next billing period (for a monthly term) or next renewal term (for an annual term) after the notice period ends. Customer may cancel before the change takes effect.
9.8 Disputes. Customer must notify SQOP of a good-faith billing dispute within 30 days after the invoice date. Undisputed amounts remain due.
10. Payments Through Stripe
10.1 Customer's subscription fees. Customer's fees to SQOP are processed through Stripe, a third-party payment processor, using the payment method Customer provides. SQOP does not store Customer's full card number.
10.2 Homeowner payments through Stripe Connect. Where Customer uses the Services to collect payment from a Homeowner (for example, a payment link on an invoice), that payment is processed through Customer's own Stripe connected account, which Customer establishes and controls with Stripe. Payment processing services for Customer on Sqop are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to use a Stripe connected account through the Services, Customer agrees to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time. Stripe's acquirers and their contact information are listed in Stripe's acquirer disclosure. As a condition of SQOP enabling payment processing through Stripe, Customer agrees to provide SQOP accurate and complete information about Customer and its business, and authorizes SQOP to share it and transaction information related to Customer's use of the payment processing services with Stripe. Stripe processes that information under the Stripe Privacy Policy. SQOP does not currently charge a platform fee on Homeowner payments; the full amount of a Homeowner payment, less Stripe's own processing fees, settles to Customer's connected account. If SQOP introduces a platform fee, it will do so only on at least 30 days' notice under Section 9.7.
10.3 SQOP is not a party to the underlying transaction. SQOP is not a party to, and has no responsibility for, the sale of goods or services between Customer and a Homeowner, including pricing, workmanship, refunds, chargebacks, or payment disputes. Those matters are solely between Customer, the Homeowner, and Stripe.
11. Communications Center and Recording
11.1 What it includes. The Services include in-app messaging and voice calling among Customer's Authorized Users, with SQOP's support team, and with participants in the Referral Network; a per-job message thread that a Homeowner can read and reply to through the Homeowner Portal; voice memos; optional call recording; and optional transcription of voice memos and recorded calls.
11.2 Company-level controls. Recording and transcription are controlled by settings Customer's administrators configure for Customer's company: a company-wide call-recording switch, a switch for voice-memo transcription, and a separate switch for call transcription. When Customer's administrator turns call recording on, every call placed in the Services is recorded from the moment it connects, without any per-call prompt, and a Recording indicator is displayed to every participant for the duration of the recording. Participants who are not Customer's Authorized Users, such as SQOP support or a Referral Network participant, see the indicator but not the notice described next. Each of Customer's Authorized Users is shown a notice that calls are recorded the first time they open the Communications Center after recording is turned on, and their acknowledgment is recorded. An individual Authorized User may opt out of having their own voice memos and calls transcribed; when any participant who joins a call has opted out, that call is not transcribed. A transcript that already exists when someone opts out is not deleted.
11.3 Customer's responsibility. Customer is solely responsible for complying with all applicable law regarding the recording, monitoring, and transcription of communications, including state laws that require the consent of every party to a call before it may be recorded, before Customer turns recording on and for as long as it stays on. Customer is responsible for obtaining any consent required from its own personnel, from Homeowners, and from any other call participant. SQOP and its support personnel consent to the recording of calls they join under Customer's recording setting.
11.4 Transcription. Transcription of voice memos and recorded calls is performed on infrastructure SQOP operates in the United States, not by an outside speech-to-text vendor. If SQOP begins using an outside transcription vendor, it will notify Customer under Section 15.3 before that vendor processes Customer Data.
11.5 Text messaging. The Services do not send SMS or text messages. Customer may not use the Services to send a message to any person from whom the applicable law requires consent that Customer has not obtained.
11.6 Retention of recordings. Call recordings and transcripts are retained for the period Customer's administrators set and otherwise under Section 16, and are included in Customer's exports.
12. Homeowner Data and the Homeowner Portal
12.1 Customer uses the Services to store information about, and communicate with, its own Homeowners, including contact and property information, photographs, documents, scheduling information, contracts, and payment-related information, and to share a curated view of that information with the Homeowner through a branded Homeowner Portal reached by a private link and, where Customer sets one, a passcode.
12.2 Customer's representation. Customer represents and warrants that it has all rights, consents, notices, and legal basis necessary to collect, store, use, and share Homeowner Data through the Services, and to direct the Services to communicate with Homeowners as Customer configures them to do, including through the Homeowner Portal, e-signature requests (Section 13), messaging (Section 11), and payment links (Section 10). Customer is responsible for giving Homeowners any privacy notice the law requires of Customer, including notice that their information and messages are processed by the Services and their AI Features.
12.3 SQOP's role. With respect to Homeowner Data, SQOP acts solely as Customer's service provider and processor, processing Homeowner Data on Customer's documented instructions to provide the Services, and Customer is the business or controller. Section 14 sets out the terms that govern that processing.
12.4 Curated portal view. The Homeowner Portal is designed to display to a Homeowner only the information and documents Customer elects to share, and is not designed to expose Customer's internal cost or margin information, internal notes, or unshared photographs. Customer controls what is shared and is responsible for its choices; SQOP does not review Customer's sharing decisions.
12.5 Homeowner continuity. A Homeowner's access to their own already-shared records through the Homeowner Portal continues after Customer's Trial Period or Subscription Term ends, for at least 12 months after termination, after which SQOP may disable it. During that period Customer remains the business responsible for the Homeowner Data and SQOP continues to act as its service provider under Section 14. Customer may instruct SQOP in writing to disable Homeowner Portal access for a job at any time.
13. E-Signatures and Documents
13.1 The Services let a Homeowner review and electronically sign contracts and related documents that Customer uploads or generates, through the Homeowner Portal link for that job. Before signing, the Homeowner is shown the full electronic-records disclosure described in Section 13.3 and checks one box agreeing to use electronic records and signatures; the Homeowner then types a name and draws a signature. The Services record the signer's name, that agreement and the version of the disclosure it was given under, the time of signing, the signer's IP address and browser, the signature image, and a fingerprint of the exact document signed, and produce a signed copy of the document, which the Homeowner can download from the Homeowner Portal.
13.2 Tool, not advice. SQOP provides the e-signature mechanism as a tool only. Customer is solely responsible for the content, legality, and enforceability of any contract or document presented for signature through the Services, including compliance with the federal Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA) as adopted in the relevant state, and any state or federal requirement applicable to home-improvement, home-solicitation, door-to-door, or insurance-restoration contracts, such as required disclosures, deductible notices, a notice of the right to cancel, and delivery of a copy of the signed contract to the Homeowner.
13.3 Consumer consent to electronic records. Where a law requires that a document or disclosure be provided to a Homeowner in writing, ESIGN requires that the Homeowner first affirmatively consent to receive it electronically after receiving the disclosures ESIGN specifies. The signing flow presents those disclosures in full before the signature: the Homeowner's right to a paper copy and how to ask for one, the right to withdraw consent and what that means, which records the consent covers, the device and software needed, and how to keep contact details current. The Homeowner gives consent with one checked box, and the Services record that consent, and the version of the wording shown, with the signature. The Homeowner Portal also lets the Homeowner request a paper copy, which sends Customer a message. Customer is responsible for delivering a copy of the signed document to the Homeowner, for providing a paper copy on request, and for obtaining the Homeowner's consent by other means in any case the Services do not cover.
14. Data Processing Terms
This Section 14 applies to SQOP's processing of Homeowner Data and any other personal information contained in Customer Data ("Personal Information") and is intended to satisfy the written-contract requirements that apply to a service provider, contractor, or processor under United States state privacy laws, including the California Consumer Privacy Act and the Texas Data Privacy and Security Act, to the extent those laws apply to Customer.
14.1 Instructions and purpose. SQOP will process Personal Information only on Customer's documented instructions, which consist of these Terms, the Order Form, and Customer's configuration and use of the Services, and only for the business purpose of providing, securing, supporting, and improving the Services as described in these Terms. The nature and purpose of processing, the types of Personal Information, and the categories of individuals are those described in Sections 2, 6, 11, and 12, and the duration of processing is the term of these Terms plus the retention periods in Section 16.
14.2 Prohibited uses. SQOP will not (a) sell or share Personal Information; (b) retain, use, or disclose Personal Information for any purpose other than the business purpose described in these Terms, or outside the direct business relationship between SQOP and Customer; or (c) combine Personal Information received from Customer with personal information SQOP receives from another person or collects from its own interactions with individuals, except as permitted by applicable law for the business purposes of the Services (for example, the scrubbed pooled learning described in Section 6.3).
14.3 Compliance and same level of protection. SQOP will comply with the obligations that applicable privacy law imposes on a service provider, contractor, or processor and will provide the same level of privacy protection as those laws require of Customer with respect to the Personal Information SQOP processes for Customer.
14.4 Confidentiality. SQOP will ensure that each person it authorizes to process Personal Information is subject to a duty of confidentiality.
14.5 Subprocessors. SQOP may engage subprocessors in the categories listed in Section 15 and will bind each to written obligations that are no less protective than this Section 14. SQOP will provide Customer its current list of subprocessors on request, and will give Customer notice under Section 15.3 before engaging a subprocessor outside those categories; Customer may object on reasonable grounds within 30 days of the notice, and if the parties cannot resolve the objection, Customer may terminate the affected Services without penalty.
14.6 Individual requests. SQOP will reasonably assist Customer, by appropriate technical and organizational measures and taking into account the nature of the processing, in responding to verified requests from individuals to exercise their privacy rights, including requests to access, correct, delete, or obtain a copy of their Personal Information. If SQOP receives such a request directly, SQOP will inform the individual that the request should be submitted to Customer and will notify Customer. Section 16.6 describes how a deletion request is honored within SQOP's archive architecture.
14.7 Security; incident notice. SQOP will implement reasonable security procedures and practices appropriate to the nature of the Personal Information, as described in Section 17, and will notify Customer of a breach of security affecting Personal Information as provided in Section 17.3.
14.8 Assessment and cooperation. On Customer's reasonable written request, no more than once per year unless required by law or following a security incident, SQOP will make available information reasonably necessary to demonstrate its compliance with this Section 14 and will allow and cooperate with a reasonable assessment by Customer or Customer's designated assessor, which SQOP may satisfy by providing a written summary of its security and privacy practices. Customer may take reasonable and appropriate steps to ensure SQOP uses Personal Information consistently with Customer's obligations, and to stop and remediate unauthorized use.
14.9 Notice of inability to comply. SQOP will notify Customer without undue delay if SQOP determines it can no longer meet its obligations under this Section 14 or applicable privacy law.
14.10 End of Services. At the end of the Services, SQOP will make Customer Data available for export as described in Section 16.3. After the export period, and at Customer's written direction, SQOP will delete or return Personal Information, except where law requires retention (including financial and tax records) and except for backups, which are handled under Section 16.5; otherwise Sections 16.4 through 16.6 apply. SQOP will tell Customer on request what it retains and why.
14.11 Customer's obligations. Customer is responsible for providing any privacy notice, obtaining any consent, and having any legal basis that applicable law requires for the collection and processing of Personal Information through the Services, and for responding to individuals' requests. Customer will not instruct SQOP to process Personal Information in violation of law.
15. Third-Party Services and Subprocessors
15.1 SQOP uses third-party service providers ("Subprocessors") in the following categories to deliver the Services. Each processes Customer Data only as needed to provide its service to SQOP, in the United States.
- Hosting, database, authentication, file storage, and realtime messaging (all Customer Data).
- Payment processing, through Stripe (billing contact and payment information; Homeowner payment details).
- Bank-account connection, through Plaid, where Customer connects a bank account (account and transaction data).
- AI model providers (content Customer submits to AI Features and the records those features read, including photographs and documents).
- Transactional and marketing email delivery (email addresses and the contents of emails the Services send).
- Error and performance monitoring (technical diagnostic data, and masked session recordings, that may incidentally include Customer Data).
- Maps, geocoding, and map display (property addresses and coordinates).
- Off-site backup storage (copies of Customer Data, kept for disaster recovery).
- Push notifications, through the push services run by browser and phone makers (the notification text and a device address).
15.2 SQOP-operated infrastructure. Voice-memo and call transcription and the relay servers used for in-app calls run on infrastructure SQOP operates in the United States. Call setup also uses public connection (STUN) servers, which see participants' network addresses.
15.3 Changes. SQOP will give Customer at least 30 days' notice, by email to Customer's registered administrator or by in-app notice, before a Subprocessor outside the categories in Section 15.1 begins processing Customer Data, subject to Customer's objection right in Section 14.5. SQOP may replace a Subprocessor within a category at any time, and may act on shorter notice where necessary to address a security, legal, or availability issue, describing the reason.
15.4 Customer-connected integrations. Where Customer connects its own account with a third party through the Services (for example, a building-supply distributor account for invoice retrieval), that third party is not a Subprocessor; Customer's use of that third party's service is governed by Customer's own agreement with it, and Customer authorizes SQOP to exchange data with it as Customer directs.
16. Data Retention, Archiving, Export, and Deletion Requests
16.1 Archive-based architecture. SQOP's systems are designed so that a record Customer removes from ordinary use, such as a job, expense, or file Customer "deletes" in the product, is hidden from Customer's working views and moved to a restricted internal archive rather than immediately and permanently erased. This design protects against accidental data loss and preserves records for audit, dispute-resolution, and legal-compliance purposes.
16.2 Customer-initiated export. Customer's administrators may generate a full export of Customer Data through the Services at any time during the Trial Period and Subscription Term. An export download link expires 72 hours after it is built.
16.3 Post-termination export. For 90 days after termination or expiration of these Terms, Customer may request an export of its Customer Data by email to sqop@sq-op.com and SQOP will provide one at no charge. After that period, SQOP may make Customer Data inaccessible to Customer.
16.4 Retention after termination. After the export period, SQOP moves Customer Data to its archive and retains it only for as long as SQOP reasonably needs it for audit, dispute-resolution, legal-compliance, backup-integrity, and security purposes, and no longer than 24 months after the export period ends (financial and tax records up to seven years), after which SQOP deletes or de-identifies it. Homeowner Portal continuity under Section 12.5 is an exception for the records it covers.
16.5 Backups. SQOP maintains off-site backups of its systems for disaster recovery. Customer Data in backups is retained for as long as SQOP maintains those backups and is used only for disaster recovery.
16.6 Deletion requests. Where applicable law grants an individual the right to have their Personal Information deleted and no statutory exception applies, and Customer forwards a verified request to SQOP (or Customer directs SQOP to delete an individual's Personal Information), SQOP will remove that information from use and then delete it or irreversibly de-identify it, including in the archive, within the time the applicable law requires, and will instruct its Subprocessors to do the same. Copies held in backups are not edited; they are retained under Section 16.5 and used only for disaster recovery. SQOP may retain information that it is required or permitted by law to retain, including records needed to complete a transaction, to detect security incidents, to comply with a legal obligation, or to exercise or defend legal claims — for example, financial records, which SQOP keeps with the individual's identifying details removed where the law allows — and will inform Customer of any such retention.
17. Security and Incident Notice
17.1 SQOP maintains administrative, technical, and organizational safeguards designed to protect Customer Data, including per-account tenant data isolation enforced at the database level, encryption of data in transit, encryption at rest by SQOP's storage providers, role-based access controls, recorded platform-staff sign-in access, and restrictions on using Customer Data outside production: it is copied into non-production environments only to test restoring backups and for owner-approved troubleshooting, with contact details removed where practical; when a job is copied into SQOP's demonstration company for troubleshooting, the homeowner's name, street address, coordinates, claim and adjuster details, mortgage lender and drawn signatures are replaced with made-up values, the signed contract and other contract files are not copied, photos are copied without their location, and each copy is recorded with the reason for it (other documents such as PDFs are copied as they are).
17.2 No method of electronic storage or transmission is completely secure. SQOP does not warrant that the Services will be free of vulnerabilities or that Customer Data will never be subject to unauthorized access.
17.3 Incident notice. SQOP will notify Customer immediately after discovering a breach of security that results in unauthorized access to or acquisition of Customer Data, and in any event within 72 hours after discovery, with updates as facts are confirmed. The notice will describe, to the extent known, the nature of the breach, the Customer Data affected, and the steps SQOP has taken or recommends. SQOP will reasonably cooperate with Customer's own notification obligations. Customer is responsible for any notice to Homeowners or regulators that the law requires of Customer.
17.4 Customer's security responsibilities. Customer is responsible for the security of its own devices, networks, and credentials; for configuring roles and access appropriately; and for promptly removing access for departed personnel.
18. Confidentiality
18.1 Each party will protect the other's non-public business, technical, and financial information disclosed under these Terms ("Confidential Information") using at least the same degree of care it uses for its own confidential information, and not less than reasonable care, and will use it only to perform under these Terms.
18.2 Confidential Information does not include information that is or becomes public through no fault of the receiving party, was rightfully known to the receiving party before disclosure, is independently developed without use of the disclosing party's Confidential Information, or is rightfully received from a third party without restriction.
18.3 Customer Data is Customer's Confidential Information. SQOP's pricing methodology, prompts and guardrail design, and non-public product roadmap are SQOP's Confidential Information.
18.4 A party may disclose Confidential Information if required by law or legal process, provided it gives the other party reasonable advance notice where legally permitted and discloses only what is required.
18.5 These obligations continue for three years after termination, and for Customer Data and trade secrets for as long as the information remains confidential or a trade secret.
19. Disclaimer of Warranties
19.1 The Services, including all AI Features, are provided "as is" and "as available." To the maximum extent permitted by law, SQOP disclaims all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage.
19.2 SQOP does not warrant that the Services will be uninterrupted, timely, secure, or error-free; that AI Feature output will be accurate, complete, or suitable for Customer's purposes; or that any defect will be corrected. No uptime or service-level commitment is provided unless stated in an Order Form.
19.3 Some jurisdictions do not allow certain warranty disclaimers. To the extent a disclaimer in this Section 19 is not permitted, the disclaimer applies to the fullest extent permitted, and any warranty that cannot be disclaimed is limited in duration to 30 days from first use.
20. Limitation of Liability
20.1 Exclusion of certain damages. To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or loss or corruption of data, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.
20.2 Liability cap. To the maximum extent permitted by law, each party's total aggregate liability arising out of or related to these Terms or the Services, under any theory of liability, will not exceed the greater of (a) the fees Customer paid to SQOP in the 12 months immediately before the event giving rise to the claim and (b) one thousand U.S. dollars (US $1,000).
20.3 Exceptions. Sections 20.1 and 20.2 do not limit: (a) a party's indemnification obligations under Section 21; (b) Customer's obligation to pay fees; (c) either party's liability for its gross negligence, willful misconduct, or fraud; (d) a party's breach of Section 18 (Confidentiality), other than a security incident affecting Customer Data, which remains subject to Section 20.2; or (e) any liability that cannot be limited under applicable law.
20.4 Basis of the bargain. The parties agree that the disclaimers, exclusions, and limitations in Sections 19 and 20 are an essential basis of the bargain and reflect a reasonable allocation of risk, and that SQOP would not provide the Services at the stated fees without them.
21. Indemnification
21.1 By Customer. Customer will defend, indemnify, and hold harmless SQOP and its members, managers, officers, employees, and contractors against third-party claims, and resulting damages, penalties, costs, and reasonable attorneys' fees, arising from: (a) Customer Data; (b) Customer's or an Authorized User's use of the Services in violation of these Terms or applicable law; (c) Customer's contracts, work, or communications with Homeowners; (d) Customer's dealings with insurers, including any claim that Customer engaged in unlicensed public adjusting, deductible abuse, or insurance fraud; and (e) Customer's failure to obtain consents or provide notices required for recording, Homeowner Data collection, messaging, marketing email, or e-signature use.
21.2 By SQOP. SQOP will defend, indemnify, and hold harmless Customer against third-party claims that the Services, as provided by SQOP and used in accordance with these Terms, infringe that third party's United States patent, copyright, or trademark, or misappropriate its trade secret, and will pay resulting damages and reasonable attorneys' fees finally awarded or agreed in settlement. This obligation does not cover claims arising from Customer Data, AI Feature output, third-party components, Customer's modification of the Services, or use of the Services in combination with items not provided by SQOP. If the Services are or may become subject to such a claim, SQOP may modify them to be non-infringing, obtain a license, or terminate the affected Services and refund any prepaid fees for the unused portion of the Subscription Term.
21.3 Procedure. The indemnified party must give prompt written notice of the claim (delay relieves the indemnifying party only to the extent it is prejudiced), allow the indemnifying party sole control of the defense and settlement (provided that a settlement may not impose an obligation on the indemnified party other than payment covered by the indemnity without its consent), and provide reasonable cooperation at the indemnifying party's expense.
22. Term, Suspension, and Termination
22.1 Term. These Terms begin when Customer accepts them under Section 1 and continue through the Trial Period and any Subscription Term, renewing as described in Section 9.4, until terminated.
22.2 Suspension. SQOP may suspend Customer's access to all or part of the Services if: (a) Customer fails to pay fees when due and does not cure within 10 days after notice; (b) SQOP reasonably believes suspension is necessary to address a security risk or to protect the Services, other customers, or a Homeowner; (c) Customer materially violates Section 5; or (d) suspension is required by law. SQOP will give notice of a suspension and will restore access promptly after the cause is resolved.
22.3 Termination for cause. Either party may terminate these Terms if the other party materially breaches them and does not cure the breach within 30 days after written notice describing it. SQOP may terminate immediately on notice if Customer's breach cannot be cured or involves a violation of law.
22.4 Termination for convenience. Customer may terminate by cancelling under Section 9.4. SQOP may terminate these Terms for convenience on 60 days' notice, and will refund any prepaid fees for the unused portion of the Subscription Term.
22.5 Effect of termination. On termination, Customer's access to the Services ends, and Section 16 governs Customer Data export and retention. Fees accrued before termination remain due. Sections 6 (as to data already processed), 7.4, 12.5, 14, 16, 18, 19, 20, 21, 24, 25, and 26, and any other provision that by its nature should survive, survive termination.
23. Changes to the Terms
23.1 SQOP may revise these Terms from time to time. SQOP will give notice of a material change at least 30 days before it takes effect, by email to Customer's registered administrator, by in-app notice, or both. The current version, its version number, and its effective date are always posted at sq-op.com/legal/terms. Continued use of the Services after the effective date of a change constitutes acceptance of the revised Terms. If Customer objects to a material change, Customer may terminate under Section 9.4 before the change takes effect, and SQOP will refund any prepaid fees for the period after termination.
23.2 SQOP may update terms specific to the AI Features or a Subprocessor on shorter notice where reasonably necessary for legal, safety, security, or third-party-provider reasons, and will describe the reason for the change.
24. Governing Law and Disputes
24.1 Governing law. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
24.2 Forum. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in the State of Texas, and each party consents to the personal jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
24.3 Informal resolution first. Before filing a claim, a party will give the other written notice of the dispute and the parties will attempt in good faith to resolve it within 30 days.
24.4 Jury-trial waiver. To the fullest extent permitted by law, each party knowingly, voluntarily, and intentionally waives its right to a trial by jury in any action arising out of or relating to these Terms or the Services.
24.5 Class-action waiver. To the fullest extent permitted by law, each party agrees that any dispute will be brought in its individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
24.6 Homeowners. Homeowners are not parties to these Terms. Nothing in this Section 24 binds a Homeowner or governs a dispute between a Homeowner and Customer.
24.7 Limitation period. To the extent permitted by law, any claim arising out of these Terms must be brought within two years after the claim accrues.
25. Notices
25.1 Notice to Customer may be given by email to the email address of Customer's registered administrator or by in-app notice, and is effective when sent. Customer must keep that address current.
25.2 Notice to SQOP must be given by email to legal@sq-op.com with a copy sent by mail or courier to SQOP LLC, 1400 Preston Rd, Ste 400, Plano, TX 75093 (or any later address posted at sq-op.com/contact), and is effective on receipt. Notice of a legal claim, a dispute under Section 24.3, or termination for cause must be given this way.
26. General Provisions
26.1 Entire agreement; order of precedence. These Terms, together with any Order Form, Part B, and (for Agents) Part C, are the entire agreement between the parties regarding the Services and supersede all prior and contemporaneous discussions and agreements. If there is a conflict, the Order Form controls over these Terms, and these Terms control over the Documentation. Terms in a Customer purchase order or similar document are rejected.
26.2 Assignment. Customer may not assign these Terms without SQOP's prior written consent, except to a successor of substantially all of Customer's business by merger, acquisition, or asset sale on notice to SQOP. SQOP may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets or of the Services. Any other attempted assignment is void.
26.3 No third-party beneficiaries. Except as expressly stated in Section 12.5 regarding a Homeowner's access to the Homeowner Portal, these Terms create no rights in any third party, including any Homeowner.
26.4 Force majeure. Neither party is liable for a failure or delay in performance (other than payment) caused by circumstances beyond its reasonable control, including natural disaster, severe weather, utility or internet failure, failure of a third-party provider not caused by the party, labor dispute, war, terrorism, or act of government.
26.5 Independent contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, franchise, employment, or agency relationship.
26.6 Severability; waiver. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. A party's failure to enforce a provision is not a waiver of it.
26.7 Electronic acceptance; counterparts. These Terms may be accepted electronically, including by clicking to accept, and, where signed via an Order Form, in counterparts, each of which is an original. An electronic record of acceptance kept by SQOP is admissible evidence of the agreement.
26.8 Publicity. SQOP may identify Customer by name and logo as a customer in its marketing materials unless Customer opts out by email to sqop@sq-op.com.
26.9 Headings; interpretation. Headings are for convenience only. "Including" means "including without limitation."
26.10 Privacy. SQOP's Privacy Policy describes how SQOP handles personal information. Where the Privacy Policy and these Terms conflict as to Customer Data, these Terms control.
Part B. Acknowledgment and Release
This Acknowledgment and Release ("Acknowledgment") is a short, plain-language statement accepted by the individual who binds Customer to the SQOP Terms of Service (Part A). It is accepted by a separate click or signature from Part A. It does not replace Part A; where the two conflict, Part A controls, except that the release below applies as written to the extent the law allows. Capitalized terms have the meanings given in Part A.
AI output can be wrong. I understand that Q and SQOP's other AI features use artificial intelligence and may produce information that is incorrect, incomplete, or outdated, including in insurance scope estimates, data extracted from carrier documents, receipts, and invoices, and drafted communications, and that AI output is not legal, insurance-adjusting, accounting, tax, or engineering advice. My company will review and verify AI output before relying on it or sending it to anyone.
No outcome is guaranteed. I understand SQOP does not guarantee any outcome with an insurance carrier, adjuster, or homeowner, including approval or payment of any estimate, scope line, or supplement.
SQOP is not an adjuster, and my company is responsible for our own compliance. I understand SQOP does not adjust, negotiate, or settle insurance claims. My company, not SQOP, is responsible for holding all licenses, permits, and insurance required for our work; for complying with laws on public adjusting and insurance deductibles; for the legality and content of our contracts with homeowners; and for obtaining any consent required by law, including consent to record calls.
SQOP staff can access our account for support. I understand SQOP platform staff may sign in to my company's account to help set it up or to help with a support issue, following the written-reason process described in Part A, Section 7, and that my company can request the access log at any time.
AI usage is billed at a markup. I understand that, after any trial period, SQOP charges for AI feature usage at a multiplier over SQOP's own AI-provider cost, in addition to any seat or subscription fee, as stated in our Order Form or in the Services, and that my company controls its AI spend limit.
Assumption of risk. I understand that using software, including AI-assisted software, to help run a home-improvement and insurance-restoration business carries an inherent risk of error, whether from a person or from an AI feature, and that my company accepts that risk when deciding how much to rely on SQOP's tools rather than on independent professional judgment.
Release. To the fullest extent permitted by applicable law, my company releases SQOP LLC and its members, managers, employees, and contractors from all claims arising out of our reliance on AI-generated content or suggestions that we chose to use without independently verifying them, except claims arising from SQOP's gross negligence, willful misconduct, or fraud, and any other claim that applicable law does not permit to be released.
I have the authority to sign. I represent that I am authorized to bind my company to this Acknowledgment and to the Terms of Service in Part A, and that I have read both.
When accepted in the Services, SQOP records the accepting user, the company, the version of this document, the date and time, and the network address of acceptance in place of a handwritten signature.
Part C. Referral Network Terms
C.1 Who these apply to. Part C applies to each insurance or real-estate agent, and each agency or office, that creates a Referral Network account or sends a referral through the Referral Network ("Agent," "you"). Part C is between you and SQOP LLC. A contractor that receives referrals is a Customer under Part A, not under Part C. Capitalized terms not defined in Part C have the meanings in Part A. In Part C, "homeowner" means the person you refer; "Referral Network" means the Referral Network part of the Services; "office" means the agency or office account you create or belong to; "business" means a contractor or other business you list; and "Subprocessor" has the meaning in Part A, Section 15.1.
C.2 Authority and acceptance. You accept Part C on behalf of yourself and your office by checking the box to agree to the Referral Network Terms when you create an office, and again when the Referral Network asks you to at a later sign-in. You confirm that you have read Part C and are authorized to accept it for your office. SQOP records your account, the version, the date and time, and the network address of acceptance.
C.3 What the Referral Network is. The Referral Network lets you send a homeowner a list of businesses you choose, lets the homeowner choose one, and lets you, the homeowner, and the business communicate and follow the work. SQOP provides the communication tool. SQOP does not recommend, vet, license-check, endorse, or guarantee any business, and does not take part in the homeowner's choice or the work. You decide whom to list, and the homeowner decides whom to hire.
C.4 Free; no payments to Agents. The Referral Network is free for Agents. SQOP does not pay Agents or offices for referrals and does not facilitate any payment from a business to an Agent. You are responsible for complying with the laws, regulations, and agreements that apply to you as a licensed agent, including rules on inducements, rebates, and referral compensation, and any requirements of the insurers or brokerages you represent.
C.5 Homeowner information you enter. Before you enter a homeowner's information or send a referral, you must have the homeowner's request or permission to share their contact details and a description of the work with the businesses you list. Each referral asks you to check a box confirming that the homeowner asked you to share their contact details, and SQOP records that with the referral, your account, the time and the version of the wording; you should also keep your own record of the permission (for example, an email or a note). Enter only what the referral needs: the homeowner's name and contact details, the property address, the type of work, and, if useful, the insurance company and claim number. Do not enter Social Security numbers, financial-account numbers, policy numbers, premium or coverage details, health information, or other sensitive information. You are responsible for complying with the privacy and data-sharing obligations that apply to you, including those under your agency or carrier agreements.
"Referral Information" means the information about a homeowner that you or the homeowner enter in the Referral Network, and the messages and files exchanged about the referral.
C.6 How SQOP handles Referral Information. SQOP acts as a service provider to your office for Referral Information:
- Use. SQOP uses Referral Information only to deliver the referral; to let the homeowner, your office, and the businesses involved communicate and follow the work; to keep the Referral Network secure; and to meet legal obligations. SQOP will not sell it, use it to market anything to the homeowner, combine it with other data except to run and secure the Referral Network, or provide it to anyone to train AI models. SQOP's AI providers' business terms do not allow them to train their models on it.
- Disclosure. SQOP discloses Referral Information only to the homeowner; to your office's Agents and administrators as described in C.8; to the businesses you list, which receive the homeowner's first name, city, and type of work, and the homeowner's contact details only if you choose to share them; to the business the homeowner chooses, which receives the referral and the homeowner's contact details; to Subprocessors; and as required by law.
- Confidentiality and safeguards. SQOP keeps Referral Information confidential and maintains administrative, technical, and physical safeguards appropriate to its sensitivity, designed to protect its security and confidentiality and to guard against unauthorized access, including those described in Part A, Section 17.1.
- Subprocessors. SQOP uses Subprocessors in the categories listed in Part A, Section 15.1 under written contracts no less protective than Part C, and remains responsible for their handling of Referral Information.
- Breach notice. If SQOP discovers a breach of security affecting Referral Information, SQOP will notify your office immediately, and in any event within 72 hours after discovery, describe what is known, and cooperate with your own notice obligations.
- Return and deletion. Within 30 days after your office's written request, or after your office closes its account, SQOP will provide the Referral Information your office entered, or delete or de-identify it, except where law requires SQOP to keep it, and except for information the homeowner or a business has already received. SQOP will tell you what it keeps and why. Copies in backups are handled under Part A, Section 16.5.
- Cooperation. On request, SQOP will give your office a written summary of its security and privacy practices and will reasonably cooperate with inquiries from your insurers or regulators about Referral Information.
C.7 The businesses involved. A business that receives the homeowner's contact details, and the business the homeowner chooses, are responsible for their own handling of that information, and their relationship with the homeowner is their own. When a business uses Sqop, the messages and files in its referral thread are processed in its Sqop account, including by its AI features, under its own agreement with SQOP (Part A) and SQOP's commitments in C.6.
C.8 Offices and accounts. An office's administrators can see the office's list of businesses and can review the referrals of the office's Agents; each such review records who looked and the reason given. You are responsible for activity under your login and must keep your sign-in email secure.
C.9 Acceptable use. You will not use the Referral Network to send unsolicited or bulk messages, to send a referral a homeowner did not ask for or agree to, to enter false information, to harass anyone, or in violation of law. SQOP may suspend or close an account that does.
C.10 Messages and files. Messages and files you send through the Referral Network go to the people you choose and are kept as part of the referral record. Do not send anything you do not have the right to share.
C.11 Disclaimers; limitation of liability. The Referral Network is provided "as is" and "as available." Part A, Sections 19 (Disclaimer of Warranties), 20.1 (Exclusion of certain damages), 20.4 (Basis of the bargain), 24 (Governing Law and Disputes), 25 (Notices), and 26 (General Provisions) apply to Part C, reading "Customer" as you and your office, and "Customer's registered administrator" as the email address of your account or of your office's administrator. Instead of Part A, Section 20.2, and because the Referral Network is free: to the maximum extent permitted by law, each party's total liability to the other arising out of Part C will not exceed one thousand U.S. dollars (US $1,000), except that (a) SQOP's liability for breach of C.6 will not exceed ten thousand U.S. dollars (US $10,000), and (b) neither limit applies to liability for gross negligence, willful misconduct, or fraud, or that cannot be limited under applicable law.
C.12 Jury-trial and class-action waivers. As provided in Part A, Sections 24.4 and 24.5, you and SQOP each knowingly, voluntarily, and intentionally waive the right to a trial by jury, and agree that any dispute will be brought individually and not as part of a class, collective, or representative proceeding, to the fullest extent permitted by law.
C.13 Changes; ending; entire agreement. SQOP may change Part C by giving Agents at least 30 days' notice by email or in the Referral Network, or shorter notice where needed for legal, safety, or security reasons, with the reason described; using the Referral Network after a change takes effect is acceptance of it. You may stop using the Referral Network at any time. SQOP may change or end the Referral Network, or suspend an account, on notice where practical. Sections C.5, C.6, C.7, C.11, and C.12 survive. Part C, with the Part A sections it applies and the Privacy Policy, is the entire agreement between you and SQOP about the Referral Network, and controls over Parts A and B for Agents.
C.14 Privacy. SQOP's Privacy Policy describes how SQOP handles personal information in the Referral Network.
